Jakarta Performing Arts Community (“JPAC”) is one of the leading English-speaking musical communities in Indonesia (“Us”, “We”, “Our”). JPAC’s key assets include Our live-theater information and licensing, promotional materials, and ticket website.

Why We Have Instituted These Terms and Conditions

JPAC has created these Terms and Conditions (“Terms”) to be as transparent as possible with regard to how we operate our businesses online and what we expect from our customers when using our web sites. These Terms apply to all users of our web sites, Our services available via telephone and those transactions that take place in person, by postal or electronic mail (collectively, “Site”, “Sites” or “Our Sites”).

Where this Terms Applies

Transactions that transpire on Our Sites occur within the Republic of Indonesia (“Indonesia”). These Terms apply to laws and regulations of Indonesia. JPAC makes no representation or warranty that Our Sites or services operate in accordance with the laws of any other nation, or that they or any part thereof, is appropriate for use in any particular nation or political subdivision (collectively referred to as “Nation”). Those who access and use Our Sites from another Nation do so at their own initiative and risk and are responsible for complying with all local laws, rules and regulations of the Nation from which Our Sites are accessed. Your use of Our Sites is Your acknowledgement that Our Sites and the products and services rendered by Us are subject to the laws and regulations of Indonesia, and You specifically waive any right to pursue claims that may arise under the laws of Your home Nation or the Nation from which You access this Site. We reserve the right to change, modify, add, or remove (“Change”) provisions of these Terms and We will endeavor to notify You of any such material Change. Any such Change shall be effective immediately. Please check back from time to time to ensure continuing familiarity with the most current version of Our Terms. Please read these Terms carefully. Your use of this Site constitutes your acceptance of these Terms without limitation, qualification or change. Your continued use of Our Sites or Our non-electronic services (e.g. in-person box office sale) is Your consent to be bound by these Terms and Your promise to abide by the practices we describe herein and in other places on Our Sites. If you do not agree with these Terms or any other term on our Sites, or in our printed materials, do not use Our services or Sites.

We grant to You a non-exclusive, limited, revocable right and license (“License”) to visit and use Our Sites, provided you agree to comply with these Terms and the other policies and conditions governing Your use of the Sites. Nothing in this License, or in the Sites, shall be construed as granting you any other rights or privileges with respect to the Sites or its content. In addition, we may terminate your right to access or otherwise use the Sites at any time, without giving you notice.

Restrictions on the Use of Our Content

We provide information on the Sites for your personal and noncommercial use only. You may not copy, modify, distribute, display, perform, create derivative works from or transfer any of the content on Our Sites (except for your own personal, non-commercial use). Our Sites are to be used solely for lawful purposes. It is incumbent upon You to assure that Your use of Our Sites complies with all applicable local and state laws of Indonesia. You may not disrupt, modify or interfere with the Sites or their associated software, hardware or servers. In addition, you may not interfere with the use of the Site by others. You may not download any of the content found on this Site and use it for any public display, performance, sale or rental; or transfer, remove, modify or alter any trademark, copyright or other proprietary content from this Site, or copy any content for a purpose prohibited by these Terms. You agree that you will not use any automatic device, software or routine including, without limitation, any robots, spiders, web bots, web wanders, crawlers, worms or web ants or any manual process which may overload our network or servers or in any way interfere or attempt to interfere with the operation of this web site. In addition, You agree not to employ any of the foregoing in an effort to circumvent any security measures we have in place to protect our Site or to enforce our policies, including without limitation, the “CAPTCHA” system used on this Site and limits on ticket purchases. You agree not to attempt to conceal Your identity by using multiple Internet Protocol (“IP”) addresses or email addresses to purchase tickets on the Site. If You violate these Terms (or if we in our sole discretion believe You have violated any of these Terms), we may terminate Your use of the Site, bar any future use of the Site by You (and by any IP addresses we believe to be associated with Your use of the Site), cancel Your purchase order or take appropriate legal action against You including, without limitation, seeking civil, criminal and injunctive redress.

Registration and Passwords

In order to access certain services on the Site, you may be required to provide specific information. All information about you must be truthful, and you may not use any aliases or other means to mask your true identity. Any access codes or passwords provided should be safeguarded at all times. You are responsible for the security of your access codes and passwords and will be solely liable for any use or unauthorized use under such access codes or passwords. We may suspend or terminate your access at any time with or without notice. At times, we or third parties may provide You with hypertext links to other web sites or applications. You may not link Your website or application to any of Our web pages without Our prior express written permission. In addition, You may not frame on another website any information located on Our Sites without Our prior express written consent. Trademarks appearing on the Sites are the property of their respective owners. You may not publicly use any trademarks owned by us without our express written permission. The content on Our Sites, such as text, graphic images and other materials (the “Works”) is protected under Indonesian and foreign copyright law. The Works may include text, software, graphics, photographs, videos, music and sound. In addition, the aggregated Works on these Sites are copyrighted as a collective work and/or compilation. You may not reproduce, copy, edit, publish or transmit the Works in any way without our express written permission. Unless specifically stated herein or elsewhere on Our Sites, Your use of our Sites does not give rise to any express or implied right to any of our trademarks, copyrights or other intellectual property or proprietary rights. You may request such permission to use of our trademarks, copyrights or other intellectual property or proprietary rights by sending an e-mail request to ask@jakartapac.com. In the event that we grant You such permission, You will not gain any legal rights to Our intellectual property or proprietary information.

Limitation of Liability

JPAC will not under any circumstances be liable to You for any consequential, incidental or special damages (including but not limited to lost profits) arising out of Your use of Our Sites, even if apprised of the likelihood of such damages occurring, and regardless of the legal theory upon which any alleged damages are premised. Notwithstanding the foregoing, JPAC’s liability is limited to the actual cost of any product or service purchased by You though Our Sites.

Indemnity

We may make claims against You for Your use of Our Sites that violates applicable laws, rules or regulations and/or Our policies posted on Our Sites. You agree to hold us harmless and indemnify us against any claims, losses, liabilities or expenses, including reasonable attorneys’ fees, arising out of or in connection with Your use of Our Sites, Your use of Our Sites which violates any law, rule or regulation, Your use of Our Sites which violates any third party right.

Alternative Dispute Resolution

Procedure. The Parties agree that any and all disputes, claims or controversies arising out of or related to these Terms or Your use of Our Sites shall be submitted to mediation and if the matter is not resolved through mediation, it shall be submitted for arbitration. Unless the parties agree otherwise, any mediation and/or arbitration shall take place in DKI Jakarta, Indonesia, and shall be administered by, and pursuant to the rules of, the Kementerian Hukum Dan Hak Asasi Manusia. Your use of Our Sites is Your consent to the sole and exclusive personal jurisdiction of the Kementerian Hukum Dan Hak Asasi Manusia sitting in DKI Jakarta.
Restrictions on Arbitration. Disputes shall be arbitrated on an individual basis. There shall be no right or authority for any disputes to be arbitrated on a class action basis or in a purported representative capacity on behalf of the general public or other persons similarly situated. The arbitrator’s authority to resolve disputes and to make awards is limited to disputes between the Parties alone, and is subject to the limitations of liability set forth above. Furthermore, disputes brought by either party against the other may not be joined or consolidated in arbitration with disputes brought by or against any third party, unless agreed to in writing by all parties. No arbitration award or decision shall be given preclusive effect as to issues or claims in any dispute with anyone who is not a party to this the arbitration. You specifically waive any right to be a member of a class action lawsuit for any claim You allege arising from the use of Our Sites.

Severability

If any part of these Terms shall be held or declared to be invalid or unenforceable for any reason by any court of competent jurisdiction, such provision shall be ineffective but shall not affect any other part of these Terms, and in such event, such provision shall be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law or applicable court decisions.

Waiver; Remedie

The failure of JPAC to partially or fully exercise any rights or the waiver of JPAC of any breach of these Terms by you shall not prevent a subsequent exercise of such right by JPAC or be deemed a waiver by JPAC of any subsequent breach by you of the same or any other term of these Terms. The rights and remedies of JPAC under these Terms and any other applicable agreement between you and JPAC shall be cumulative, and the exercise of any such right or remedy shall not limit JPAC’s right to exercise any other right or remedy.

Terms Of Ticket Sales

All tickets, etickets, vouchers, memberships and packages (“Tickets”) are sold by Jakarta Performing Arts Community (“JPAC”). All orders are subject to availability and acceptance by JPAC. JPAC reserves the right to accept or reject any order. By ordering Tickets you agree, on your own behalf and as agent on behalf of all persons for whom you are purchasing Tickets or who will be holding Tickets purchased by you (you and each such person being a “Ticket Holder”), to be bound by these Terms and Conditions. JPAC shall be entitled, but not obliged, to conduct verification checks on any order, and shall be entitled to rescind the order if such verification checks reveal any fraud or other irregularity in the order.
JPAC has no control over the maintenance or management of the Venue, or the organisation or management of the Services. JPAC, its agents and employees shall not be liable for any death, personal injury (unless such death or personal injury was caused by the negligence of JPAC), loss or damage however caused while in the Venue nor are they liable for any complaints, claims, refunds, or exchange for any reason whatsoever, including without limitation, those relating to the Services, the Venue, or cancellation or postponement of the Services (collectively, “Claims”). Booking fees and all handling fees shall not be refundable. Any other refunds shall be made only at the Provider’s discretion and on the Provider’s account. JPAC shall not be liable for any such Claims or refunds.
All Ticket prices are determined by JPAC. Ticket prices and discounts may change during a sale period, as determined by JPAC. No refunds will be given or claims entertained due to any change in Ticket prices or discounts.
Upon confirmation of your order for Tickets, no exchange of Tickets will be made under any circumstances and Tickets are not transferable. The resale of Tickets at any price is prohibited. JPAC and reserves the right to cancel any Tickets that have been transferred or resold and to deny any such Ticket Holder entry.
Upon confirmation of your order for Tickets, no refund on Tickets will be made under any circumstances except pursuant to Condition 6 below.
All claims for refunds shall be directed to JPAC. JPAC will process and authorise refunds. The amount of such refund processed by JPAC will be on a pro-rated basis (“Pro-rated Amount”) in accordance with the amount of the said sums held by JPAC and the price paid by the Ticket Holder for the Ticket. JPAC shall not be liable to process any refund beyond the Pro-rated Amount under any circumstances. In any case, JPAC shall not be liable and under no obligation to process any refund at all in the event that the refunds are not authorised, the Ticket holder did not pay in advance the said sums to JPAC or where JPAC is not or is no longer holding any Proceeds. The following terms shall apply where refunds are processed by JPAC:
If a request for a refund is made within one month after the date of a Notice, no administrative fee will be charged pursuant to such a request.
If a request for a refund is made between one month and six months (inclusive) after the date of a Notice, any refund made pursuant to such a request shall be charged a 20% administrative fee on the value of the Ticket(s), subject to a maximum sum represented by the Pro-rated Amount.
No refund will be made if the request for the refund is made after six months from the date of a Notice. Such unrefunded sums shall be dealt with at JPAC’s or the Ticket holder’s sole discretion.
All Tickets purchased using credit cards shall be refunded to the credit card accounts with which the Tickets were purchased. If such credit card accounts are no longer valid, no credit card refunds will be made and Condition 7.6 below shall apply.
Tickets purchased using payments other than credit cards shall be refunded in cash and refunds will have to be made at the JPAC Box Office located at the venue of the performance. Ticket Holders will have to produce the full stub of the original Tickets in good condition to claim refunds. The identity of the person receiving the refunds may be recorded by our Customer Service Officers.
Entry will be refused if Tickets have not been purchased from JPAC or other authorised points of sale.
Infants in arms or children without Tickets will not be admitted unless otherwise stated in Services advertisements or announcement.
Student and Senior Citizen passes (and others where applicable) must be shown to obtain discounts (where applicable) and upon admission.
Latecomers cannot be admitted until a suitable break during the performances.
Entry to the Venue will be subject to the Venue’s prevailing terms and conditions of entry.
Entry to the Venue may be subject to age restrictions specified in the webpage or in publicity for the Services, and no refunds will be made on the grounds that the Ticket Holder was not aware of such age restrictions.
The Provider reserves the right without refund or compensation to refuse admission/evict any person(s) whose conduct is disorderly or inappropriate or who poses a threat to security, or to the enjoyment of the Services by others.
No photography, audio or video recording is allowed during the Services unless otherwise stated by the Provider.
JPAC may use the Ticket Holder’s image or likeness in any live or recorded video display, photograph, picture or publicity material or website.
JPAC may postpone, cancel, interrupt or stop the Performances due to adverse weather, dangerous situations, or any other causes beyond his reasonable control.
The Ticket Holder agrees to submit to any search for any prohibited items including but not limited to weapons, controlled, dangerous and illegal substances and recording devices.
The Ticket Holder voluntarily assumes all risk and danger incidental to the Performances and Venue whether occurring prior to, during or subsequent to the actual Performances or your presence at the Venue, including any death, personal injury, loss, damage or liability.
Purchasers of Tickets who are under 18 years of age should seek parental consent before purchasing Tickets/merchandises from our website. By transacting on our website, you certify that you are at least 18 years of age and you understand these Terms and Conditions.
All Tickets must be collected within the time periods stipulated for your chosen delivery method. No refunds will be made for uncollected Tickets.
Any complaints regarding the Performances shall be directed solely to and dealt with by JPAC. Any complaints regarding the Venue shall be directed solely to and dealt with by the Venue.
By providing any personal data to JPAC, you agree that JPAC shall be entitled to use and process such data in accordance with its Privacy Policy.
Indonesian law shall govern the sale of all Tickets and you agree to submit to the exclusive jurisdiction of the Indonesian courts.
